These Terms and Conditions ("Terms") govern your use of security services provided by Guard Enforcement Security & Patrol ("Company", "we", "us", or "our"). By engaging our services, you agree to be bound by these Terms.

1. Service Agreement

1.1 Service Provision: Guard Enforcement agrees to provide security services as specified in the service agreement between the parties. Services include but are not limited to security assessment, surveillance systems, crowd control, personal protection, and armed security services.

1.2 Service Standards: All services will be performed in accordance with industry standards and applicable laws in both the United States and Nigeria. Our personnel are licensed, trained, and background-checked according to local requirements.

1.3 Service Modifications: Any modifications to the agreed services must be made in writing and signed by both parties. Additional services may incur additional charges.

2. Client Responsibilities

2.1 Cooperation: Client agrees to provide necessary access, information, and cooperation required for the effective delivery of security services.

2.2 Site Conditions: Client is responsible for ensuring that the premises are safe for our personnel and that all relevant safety information is disclosed.

2.3 Payment: Client agrees to pay all fees as specified in the service agreement within the agreed payment terms. Late payments may incur additional charges.

3. Limitation of Liability

3.1 Service Limitations: While we strive to provide the highest level of security services, we cannot guarantee the prevention of all criminal acts, accidents, or security breaches.

3.2 Liability Cap: Our liability for any claims arising from our services shall not exceed the total amount paid by the client for services in the 12 months preceding the incident.

3.3 Force Majeure: We shall not be liable for any failure to perform our obligations due to circumstances beyond our reasonable control, including natural disasters, government actions, or civil unrest.

4. Emergency Procedures

4.1 Emergency Response: Our personnel are trained to respond to emergencies according to established protocols and will contact appropriate authorities when necessary.

4.2 Authority Coordination: We will cooperate fully with law enforcement, fire departments, and other emergency services as required.

4.3 Incident Reporting: All incidents will be documented and reported to the client in accordance with agreed procedures.

5. Confidentiality

5.1 Information Protection: We agree to maintain the confidentiality of all client information and premises details obtained during the provision of services.

5.2 Personnel Training: All personnel are trained on confidentiality requirements and sign appropriate non-disclosure agreements.

5.3 Data Security: We implement appropriate measures to protect client data and comply with applicable data protection laws.

6. Termination

6.1 Termination Notice: Either party may terminate the service agreement with appropriate notice as specified in the contract, typically 30 days for ongoing services.

6.2 Immediate Termination: Services may be terminated immediately in cases of non-payment, breach of contract, or safety concerns.

6.3 Final Settlement: Upon termination, all outstanding fees must be paid, and company property must be returned.

7. Governing Law

7.1 USA Operations: For services provided in the United States, these Terms shall be governed by the laws of the state where services are provided.

7.2 Nigeria Operations: For services provided in Nigeria, these Terms shall be governed by the laws of the Federal Republic of Nigeria.

7.3 Dispute Resolution: Any disputes shall be resolved through mediation first, followed by arbitration if necessary, in the jurisdiction where services are provided.

8. Insurance and Indemnification

8.1 Insurance Coverage: Guard Enforcement maintains comprehensive general liability, professional liability, and workers' compensation insurance as required by law.

8.2 Client Indemnification: Client agrees to indemnify Guard Enforcement against claims arising from client's negligence or failure to follow security recommendations.

8.3 Insurance Certificates: Insurance certificates will be provided upon request and as required by contract terms.
